Welcome to Owllet. These Terms of Service and End-User License Agreement ("Terms" or "Agreement") govern your access to and use of the Owllet mobile application (the "App"), a self-custodial software interface for the XRP Ledger ("XRPL").
By downloading, installing, or using the App, you ("User" or "You") agree to be bound by these Terms. If you do not agree to these Terms, you may not use the App.
1. Apple App Store Specific Terms
Because you are downloading the App from the Apple App Store, the following terms apply to you, as required by Apple's Minimum Terms of Developer's End-User License Agreement:
1.1 Acknowledgment: You and Owllet acknowledge that this Agreement is concluded between you and Owllet only, and not with Apple Inc. ("Apple"). Owllet, not Apple, is solely responsible for the App and its content.
1.2 Scope of License: Owllet grants you a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.
1.3 Maintenance and Support: Owllet is solely responsible for providing any maintenance and support services with respect to the App. You and Owllet acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.
1.4 Warranty: Owllet is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App to you; and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App.
1.5 Product Claims: You and Owllet acknowledge that Owllet, not Apple, is responsible for addressing any claims by you or any third party relating to the App or your possession and/or use of the App, including, but not limited to: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
1.6 Intellectual Property Rights: In the event of any third-party claim that the App or your possession and use of the App infringes a third party’s intellectual property rights, Owllet, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
1.7 Legal Compliance: You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties (including the Treasury Department's OFAC lists).
1.8 Third-Party Beneficiary: You and Owllet acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of this Agreement, and that, upon your acceptance of the terms and conditions of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary thereof.
2. Non-Custodial Nature of the App
2.1 Unhosted Wallet Interface: Owllet is a self-custodial (unhosted) software interface. We do not have access to, custody of, or control over your digital assets, private keys, secret phrases, or passwords.
2.2 Sole Responsibility for Keys: You bear exclusive responsibility for the preservation and security of your private keys and seed phrases. If you lose your keys or seed phrase, you will permanently lose access to your digital assets. Owllet cannot recover your keys, reset your passwords, or reverse any transactions.
2.3 No Intermediary: Owllet acts strictly as a graphical user interface that allows you to interact directly with the XRP Ledger. Owllet does not transmit, hold, or accept value on behalf of any user, nor do we act as a financial intermediary, broker, or Money Services Business (MSB).
3. Decentralized Exchange (DEX) & Protocol Interactions
3.1 Network Execution: The App allows you to create transaction parameters (such as OfferCreate transactions) to interact with the XRP Ledger's native Decentralized Exchange (DEX). When you initiate a swap, you sign the transaction locally on your device, and it is broadcast directly to the public ledger.
3.2 No Exchange Operations: Owllet does not operate a cryptocurrency exchange, manage an order book, execute trades, or act as a counterparty to any transaction. All trades are executed entirely by the permissionless XRPL protocol.
3.3 Network Fees and Slippage: You are responsible for all network fees (e.g., XRPL drops) and assume the risk of price slippage, failed transactions, and network latency.
4. Third-Party Services and Fiat On-Ramps
4.1 Third-Party Integration: The App may contain integrations or links to third-party services, such as fiat-to-crypto on-ramps (e.g., MoonPay).
4.2 Merchant of Record: If you use a third-party fiat on-ramp, you are transacting exclusively with that licensed third-party entity (the Merchant of Record). Owllet does not process fiat payments, conduct Know Your Customer (KYC) verification, or custody the purchased crypto assets.
4.3 Separate Terms Apply: Your use of third-party services is governed strictly by their respective Terms of Service and Privacy Policies. Owllet disclaims all liability for third-party failures, transaction blocks, or account closures.
5. Assumption of Risk
By using Owllet, you expressly acknowledge and assume the following risks:
- Blockchain Risks: The XRP Ledger may experience forks, network congestion, or technical vulnerabilities outside of Owllet's control.
- Regulatory Risks: The regulatory status of digital assets is unsettled and varies by jurisdiction. You are solely responsible for ensuring your use of Owllet complies with your local laws.
- Security Risks: While keys remain on your device, you are responsible for securing your device against malware, unauthorized physical access, and phishing attacks.
6. Prohibited Activities
You agree not to use the App to:
- Violate any applicable local, state, national, or international law.
- Engage in money laundering, terrorist financing, or circumvent OFAC sanctions.
- Infringe upon the intellectual property rights of others.
- Distribute malware, viruses, or any other malicious code.
7. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. OWLLET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OWLLET DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL OWLLET, ITS FOUNDERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, LOSS OF DATA, LOSS OF PRIVATE KEYS, OR LOSS OF DIGITAL ASSETS, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, REGARDLESS OF THE LEGAL THEORY ASSERTED.
9. Dispute Resolution and Governing Law
9.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
9.2 Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach thereof shall be settled by binding individual arbitration, rather than in court. Class actions and class arbitrations are strictly prohibited.
